Selon l’article 1832-2 du Code civil lorsqu’un époux acquiert seul des parts sociales non négociables et qu’il le fait à l’aide de biens communs, la qualité d’associé lui est seul reconnue. En revanche, le conjoint peut obtenir cette qualité pour moitié des parts s’il en fait la demande auprès de la société. 

Si l’obtention de cette qualité est subordonnée à l’action du conjoint, la valeur des parts est un bien commun des époux. En effet, on distingue la qualité d’associé (« le titre ») de la valeur des parts sociales (« la finance »). C’est ainsi que les dividendes reçus par l’époux associé sont eux aussi des biens communs. Dès lors, dans un régime de communauté, chacun des époux est en droit de réclamer la moitié des dividendes, y compris si l’époux n’a pas la qualité d’associé. 

 Á la suite de la dissolution de la communauté, un régime d’indivision se met en place jusqu’à la liquidation et le partage des biens entre les époux. L’actif de l’indivision comprend notamment les biens existant à la dissolution de la communauté, les biens subrogés aux biens indivis ainsi que, selon l’article 815-10 du Code civil, les fruits et revenus des biens indivis. 

 En l’espèce, le mari a acquis durant le mariage des parts sociales d’une société civile professionnelle (SCP). Cette acquisition lui a donné la qualité d’associé que n’a pas reçu sa femme. Cependant, les dividendes perçus étaient des biens communs en tant que fruits des parts sociales. 

 La Cour de cassation devait déterminer si les dividendes perçus à la suite de la dissolution de la communauté étaient des biens indivis ou des biens propres du mari qui avait seul la qualité d’associé de la SCP. 

 Par un arrêt du 28 mars 2018, la première chambre civile juge que les bénéfices et dividendes perçus par l’ex-époux pendant l’indivision postcommunautaire sont des fruits accroissant l’indivision. L’époux qui n’a pas la qualité d’associé peut donc réclamer sa part dans les dividendes perçus après la dissolution de la communauté et ce jusqu’au partage des biens et la fin de l’indivision postcommunautaire. 

 En revanche, la qualité d’associé ne fait pas partie de l’indivision. C’est à dire que l’époux non associé ne pourra pas revendiquer cette qualité à la suite de la dissolution de la communauté. Seule « la finance » des parts en fait partie et non pas « le titre ».
